Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Bounti referral marketing platform, business portal, SMS messaging services, and recruiter program (collectively, the “Services”) operated by Bounti, Inc. (“Bounti,” “we,” “us,” or “our”). By creating an account, submitting a web form, using the business portal, or replying to a Bounti-originated message, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

1. SMS Messaging and Opt-In

By providing your mobile phone number through a Bounti referral form, portal sign-up, or direct submission to a participating business, you consent to receive recurring automated SMS text messages from Bounti on behalf of that business. Messages may include:

• Referral invitations and personal referral links
• Payment offers and confirmation of earned payments
• Campaign updates and follow-up outreach
• Account and support-related notices

2. Message Frequency and Carrier Charges

Message frequency varies based on your participation and campaign activity. Most participants receive fewer than 5 messages per campaign. Message and data rates may apply depending on your mobile carrier plan.

3. Opt-Out and HELP

Reply STOP to any Bounti message at any time to opt out of all future messages from that campaign. You will receive a one-time confirmation that your opt-out has been processed. Reply HELP for assistance, or contact us at hello@bountihunter.net or +1 (912) 452-5940. Opt-out requests are honored immediately and your number will not receive further automated messages from the associated campaign.

4. Business Account Terms

Businesses registering for and using Bounti (“Business Accounts”) agree to the following:

• Eligible use: You may only run referral campaigns with customers who have completed a real, paid transaction with your business and have a prior relationship with you. Use of the platform to send messages to purchased lists, cold prospects, or individuals without a prior business relationship is prohibited.
• Regulatory compliance: You are responsible for complying with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, FCC regulations, and applicable CTIA Messaging Principles and Best Practices. Bounti operates as a messaging platform on your behalf; you remain the sender of record for consent purposes.
• Accurate information: You agree to provide accurate business information during registration and to update it promptly when it changes. Misrepresentation of your business, customer relationships, or completed jobs may result in account suspension.
• Consent records: You are responsible for maintaining records of customer opt-in consent for any contacts you submit to the platform.
• Honor opt-outs: You agree to honor opt-out requests immediately and not re-contact any individual who has replied STOP.
• One account per business: Each legal business entity may register one account. Multiple accounts for the same entity are prohibited without prior written approval.

5. Fees, Billing, and Payouts

Platform fees: Bounti charges a platform fee on each confirmed referral conversion. The fee amount is disclosed during account setup and campaign creation. Fees are charged only after a referred customer completes a paid transaction that is confirmed by the business.

Payment method: Business accounts must maintain a valid payment method on file. Bounti uses Stripe to process payments. By saving a payment method, you authorize Bounti to charge the applicable platform fee upon each confirmed payout event.

Referral payments: Referral payments made to customers and prospects are funded by the business account and administered by Bounti on the business's behalf. Payment amounts are set by the business within any applicable limits. Bounti is not a party to the referral payment agreement between a business and its customers.

Payment verification: Payments are subject to verification of job completion and payment confirmation. Bounti reserves the right to hold or withhold payments in cases of suspected fraud, dispute, charge-back, or violation of these Terms.

Disputes: Billing disputes must be raised within 30 days of the disputed charge. Contact us at hello@bountihunter.net to initiate a billing dispute.

6. Recruiter Program

Bounti operates a recruiter program that allows individuals (“Recruiters”) to refer businesses to the platform and earn commissions on qualifying activity generated by those businesses.

• Recruiter commissions: Recruiters earn a one-time commission equal to the full platform fee on the first confirmed referral conversion generated by a recruited business, followed by an ongoing percentage of platform fees on subsequent conversions (“perpetuity commission”). Commission rates are disclosed in the recruiter onboarding materials and are subject to change with 30 days' notice.
• Eligibility: Commissions are earned only on businesses that register through a valid recruiter referral link and complete a qualifying conversion. Bounti reserves the right to disqualify commissions on conversions that are reversed, fraudulent, or disputed.
• Payouts: Recruiter commissions are paid out via Stripe Connect. Recruiters are responsible for completing Stripe's identity verification before receiving payouts. Bounti is not responsible for delays caused by incomplete Stripe onboarding.
• Recruiter conduct: Recruiters may not misrepresent the Bounti platform, make earnings guarantees, or target industries excluded from Bounti's acceptable use policy.

7. Data Collection and Use

By using the Services, you acknowledge that:

• Message content you send to Bounti may be stored and processed to operate the referral program.
• Inbound messages are analyzed using AI language models to classify intent and generate responses.
• Your phone number and message content are transmitted through Twilio, our SMS infrastructure provider.
• Phone numbers you share (e.g., a prospect's number) may be used to send that person a referral invitation on your behalf, subject to applicable consent requirements.

8. Intellectual Property

All content, branding, software, and materials made available through the Services are owned by Bounti or its licensors. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without prior written permission. By submitting content (including completion photos) through the platform, you grant Bounti a non-exclusive, royalty-free license to use that content to operate and improve the Services, and — if you have enabled media use for your account — in marketing materials.

9. Acceptable Use

You agree not to:

• Use the platform to send spam, unsolicited messages, or messages to purchased or rented lists
• Misrepresent your identity, business, or customer relationships
• Attempt to reverse-engineer, scrape, or interfere with the platform's systems or APIs
• Use the platform in any way that violates applicable law or regulation
• Submit fabricated job completions or fraudulent referrals
• Operate the platform in industries excluded by Bounti's acceptable use policy (available on request)

Violation of these provisions may result in immediate account suspension and forfeiture of any pending payments or commissions.

10. Account Suspension and Termination

Bounti may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms or any applicable law
• Fraudulent activity or misrepresentation
• Failure to maintain a valid payment method
• Conduct that creates regulatory, legal, or reputational risk for Bounti

Upon termination, your access to the platform will be revoked. Pending confirmed payouts will be processed subject to fraud review. Bounti is not liable for any losses resulting from account suspension or termination.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Bounti's total liability for any claim arising from use of the Services is limited to the greater of (a) the platform fees paid by your account in the 30 days preceding the claim, or (b) $100. Bounti is not liable for SMS delivery failures caused by carrier filtering, network outages, or device limitations; referral reward disputes between a business and its customers; third-party payment processing errors; or any indirect, incidental, or consequential damages.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranty of any kind. Bounti does not warrant that the Services will be uninterrupted, error-free, or that any particular referral will result in a conversion or payout.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Miami-Dade County, Florida. You waive any right to a jury trial or to participate in a class action with respect to any claim covered by these Terms.

14. Changes to These Terms

Bounti may update these Terms as the platform evolves. Updated Terms will be posted at this URL with a revised effective date. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms. For material changes, we will provide at least 14 days' notice by email or in-portal notification.
